Effective date: May 6, 2026. These Terms govern enterprise use of LeasingStack software, platform services, and related technologies.
These Terms of Service ("Terms") form a binding legal agreement between you and LeasingStack regarding access to and use of LeasingStack websites, applications, APIs, software, documentation, and related services (collectively, the "Services"). By accessing or using the Services, you represent that you have authority to bind the entity you represent and agree to these Terms.
The Services are intended for business and professional use. You must be at least the age of majority in your jurisdiction and legally capable of entering into contracts. If you use the Services on behalf of an organization, references to "you" and "your" include that organization, and you are responsible for ensuring all authorized users comply with these Terms.
We may modify, enhance, or discontinue all or part of the Services at any time, including introducing new functionality, security controls, or usage limits. We may also update these Terms from time to time. Material changes will be posted with an updated effective date. Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
You are responsible for maintaining accurate account information and implementing appropriate internal controls over user access. You must promptly disable credentials for departed personnel, use strong authentication practices, and immediately notify LeasingStack of any suspected unauthorized access, data compromise, or security incident involving your account.
You may use the Services only in compliance with applicable law and these Terms. You may not: (a) access or use the Services in a way that interferes with platform integrity, availability, or performance; (b) probe, scan, or test vulnerability of any system without authorization; (c) reverse engineer or attempt to extract source code except where expressly permitted by law; (d) upload unlawful, infringing, fraudulent, or malicious content; or (e) use the Services to violate privacy, consumer finance, cybercrime, sanctions, or anti-money laundering laws.
As between the parties, you retain ownership of Customer Data that you submit to the Services. You represent and warrant that you have all rights, notices, and consents required to collect, process, transfer, and store Customer Data through the Services. You are responsible for your regulatory obligations, including those related to privacy, data protection, consumer disclosures, records retention, and lawful basis for processing personal information.
LeasingStack maintains administrative, technical, and organizational safeguards designed to protect the confidentiality, integrity, and availability of Service data. No system is completely secure, and you acknowledge residual cybersecurity risk inherent in internet-based services. We will take commercially reasonable steps to investigate and respond to confirmed security incidents affecting Service systems and provide notices where required by applicable law.
Certain Services require a paid subscription. Fees, billing cycles, usage thresholds, and overage terms are described in your order, plan, or customer agreement. Unless otherwise stated, subscriptions renew automatically for successive terms. You authorize LeasingStack and its payment processors to charge all applicable fees, taxes, and related charges. Late or failed payments may result in suspension or termination of access.
LeasingStack and its licensors retain all right, title, and interest in and to the Services, including software, user interfaces, trademarks, logos, and related intellectual property. Subject to these Terms, LeasingStack grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes. No implied licenses are granted.
The Services may interoperate with third-party products, data sources, and service providers. LeasingStack does not control third-party services and is not responsible for their availability, security, accuracy, or terms. Your use of third-party services is governed by your agreements with those providers.
Each party may receive non-public information from the other party that is identified as confidential or that reasonably should be understood as confidential. The receiving party will protect such information using reasonable care and use it only for purposes of performing under these Terms. Confidentiality obligations do not apply to information that is public through no fault of the receiving party, independently developed, or rightfully received from a third party without restriction.
EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT SIGNED BY LEASINGSTACK, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEASINGSTACK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LEASINGSTACK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LEASINGSTACK OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LEASINGSTACK'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO LEASINGSTACK FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless LeasingStack and its affiliates from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your Customer Data; (b) your use of the Services in violation of these Terms or applicable law; or (c) your negligence, willful misconduct, or fraud.
LeasingStack may suspend or terminate access to the Services immediately if necessary to prevent harm, comply with law, address a security risk, or enforce these Terms. You may stop using the Services at any time. Upon termination, rights granted to you under these Terms will cease, and each party will remain responsible for obligations accrued before termination.
These Terms and any dispute, claim, or controversy arising out of or relating to the Services or these Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules. Unless otherwise agreed in writing, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in California.
Under California Civil Code Section 1789.3, California users of the Services are entitled to the following consumer rights notice: if you have a complaint regarding the Services or desire further information, contact LeasingStack at legal@leasingstack.com. You may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N-112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
These Terms, together with any applicable order forms, data processing terms, and written customer agreements, constitute the entire agreement regarding the Services and supersede prior or contemporaneous understandings on that subject. If any provision is held unenforceable, the remaining provisions remain in full force and effect. You may not assign these Terms without LeasingStack's prior written consent, except in connection with a permitted corporate reorganization or sale of substantially all assets.
